Agreement to Terms

By installing or using Ceres Data Layering ("Ceres", "we", "our", "the App") through the Shopify App Store, you ("Merchant", "you") agree to be bound by these Terms of Service. If you do not agree, do not install or use the App.

Description of Service

Ceres Data Layering is a Shopify embedded application that injects GA4-compatibledataLayer tracking events into your storefront via Shopify Script Tags and a Web Pixel extension. The App allows you to configure which events are tracked and provides integrations with Google Analytics 4 (GA4) and Google Tag Manager (GTM).

Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App to collect data in violation of applicable privacy laws (including GDPR and CCPA)
• Attempt to reverse-engineer, decompile, or extract the source code of the App
• Use the App to transmit harmful, fraudulent, or misleading data
• Resell or sublicense access to the App without our written consent

Your Responsibilities

You are solely responsible for:

• Ensuring your use of the App complies with applicable laws and regulations, including privacy laws (GDPR, CCPA, etc.) and cookie consent requirements in your jurisdiction
• Disclosing to your customers that GA4 or other analytics platforms are in use on your storefront, and obtaining any required consent
• The accuracy of any Measurement IDs or Container IDs you configure within the App
• Your use of Google Analytics 4, Google Tag Manager, Meta Pixel, or any other third-party platforms you connect through the App — your use of those platforms is subject to their respective terms of service

Intellectual Property

The App, including all software, designs, and documentation, is the exclusive property of Ceres Data Layering and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the App as described herein.

Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, uninterrupted, or that data collected will be accurate or complete.

Limitation of Liability

To the fullest extent permitted by applicable law, Ceres Data Layering shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of or inability to use the App, even if advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

Modifications to the App and Terms

We reserve the right to modify or discontinue the App (or any part of it) at any time with or without notice. We may also update these Terms from time to time. Continued use of the App after any changes constitutes acceptance of the new Terms.

Termination

These Terms remain in effect while you use the App. You may terminate this agreement at any time by uninstalling the App from your Shopify store. We may suspend or terminate your access to the App at any time for violation of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Ceres Data Layering operates, without regard to its conflict of law provisions.
